Dr. iur. Laura Melusine Baudenbacher

Laura Melusine Baudenbacher’s practice focuses on Swiss business law, EU law, and EEA law, in particular single market law, competition law, economic human rights law, and administrative law. She has been named a “Rising Star” in competition law by Expert Guides, a directory of the world’s leading lawyers chosen by their peers.

Prior to founding Baudenbacher Law, Laura Melusine worked as an attorney in the Brussels office of Linklaters LLP and the Brussels and Cologne offices of Cleary Gottlieb Steen & Hamilton LLP from 2016 – 2021. Before joining private practice, she was a référendaire at the Swiss Federal Administrative Court from 2011 – 2016.

Laura Melusine has advised European, American, Russian, and Asian clients on issues ranging from Swiss, German, and EU/EEA competition law to EU banking law and Swiss private and administrative law.

Laura Melusine’s experience includes representing:

  • The EU Single Resolution Board in actions for annulment before the EU General Court filed by various European banks against the Board’s decisions on the calculation of ex ante contributions to the Single Resolution Fund;
  • The EU Single Resolution Board in over 100 actions for annulment before the EU General Court filed by former shareholders and creditors of Banco Popular Español against the decision to resolve the bank;
  • A global gas storage supply company in arbitration proceedings before the German Institution of Arbitration (DIS);
  • Nestlé in its assessment on whether to appeal the fining decisions of the German Federal Cartel Office in cases “HEMA” and “Vierer-Runde” before the Higher Regional Court of Düsseldorf.

Competition Law

Laura Melusine’s experience includes representing:

  • International Flavors & Fragrances in its $26.2 billion acquisition of DuPont’s Nutrition & Biosciences Business;
  • Celanese in the Ethylene Price Purchasing cartel proceedings before the European Commission;
  • A global investment bank in proceedings before the Swiss Competition Commission (WEKO) for alleged foreign exchange rate manipulation;
  • International Flavors & Fragrances in its $7.1 billion acquisition of Frutarom Industries;
  • TPG in various merger control proceedings worldwide;
  • A major German car manufacturer in proceedings before the German Federal Cartel Office regarding alleged price fixing agreements in the steel sector;
  • A leading car parts manufacturer in various cartel proceedings regarding the Auto Parts cartel before the European Commission and in subsequent cartel damages negotiations with car manufacturers;
  • Continental AG in its acquisition of the Hornschuch Group;
  • Vion Food Group in its acquisition of parts of the insolvent Lutz-Group.

General Advice

Laura Melusine has advised clients in a variety of industries and legal areas, including:

  • Google on various questions of EU and German competition law;
  • SKY Italia on various Swiss contract law issues and on the development of negotiation strategies with its contractual partners in connection with the COVID-19 pandemic;
  • A U.S. multinational mass media and entertainment conglomerate on questions of Swiss competition law;
  • A U.S. online payments system company on implications of new German legislation;
  • A U.S. manufacturer and supplier of semiconductor and infrastructure software products on Swiss contract law issues;
  • A global academic publishing company on various compliance issues as well as in connection with a planned IPO.

Adjudication

During her tenure at the Swiss Federal Administrative Court, Laura Melusine was involved in cases concerning, inter alia, competition law, economic human rights law, public procurement law, and trademark law.

Notably, she is responsible for the reasoning of the judgments in cases:

  • B-506/2010, GABA / Swiss Competition Commission, the first ruling of the Federal Administrative Court on the scope of the effects doctrine in competition law, on the distinction between agreements that do not eliminate competition but significantly affect it, and on the sanctionability of such agreements;
  • B-463/2010, Gebro / Swiss Competition Commission, a parallel case to GABA;
  • B-3332/2012, BMW / Swiss Competition Commission, a follow-up case to GABA and Gebro.
